Terms of Service

1. Scope and provider
These Terms of Service (“Terms”) govern your use of the loose-leaf application and related services (“Service”), operated by:

By using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
2. Description of service
loose-leaf is a note-taking application with a chat-like interface. It stores notes locally on your device and optionally syncs them across devices using end-to-end encryption. The Service includes:
- Free tier: Local note-taking with up to 50 MB of encrypted sync storage
- Paid tiers: Additional storage for media files (images, videos, documents)
- Native apps: iOS and desktop applications with the same core functionality
3. Account and mnemonic phrase
Your account is created locally using a cryptographic key pair. Your 24-word mnemonic phrase is the sole method of account recovery. We cannot recover, reset, or regenerate your mnemonic phrase. You are solely responsible for storing it securely. Loss of the mnemonic phrase results in permanent loss of access to synced data on other devices.
4. Data and storage
4.1 Local data
Notes are stored locally on your device. Local data is under your sole control and is not affected by these Terms.
4.2 Sync data
If you use multi-device sync, encrypted data is stored on our relay server under these conditions:
- Free tier: Up to 50 MB, retained for up to 60 days since last sync
- Paid annual plans: Retained for up to 365 days since last sync
We do not guarantee availability of sync data beyond the stated retention periods.
4.3 Inactive accounts
Free accounts inactive for 60 days receive a warning email (if email is registered). If no activity occurs within 7 days of the warning, server-side data may be deleted. Local data on your device is not affected.
5. Subscriptions and payment
5.1 Pricing
Subscription prices are set and displayed by Apple in the App Store. Apple is the merchant of record and handles all billing, payment processing, and applicable taxes.
5.2 Billing
Subscriptions are billed exclusively through the Apple App Store. Apple handles all payment processing, invoicing, and refunds.
5.3 Renewal
After the initial subscription period, subscriptions renew into an indefinite term (not a new fixed term), in accordance with §309 Nr. 9 BGB. You may cancel at any time with a maximum notice period of one month.
5.4 Grace period
When a paid subscription expires, a 14-day grace period begins. During this period, media uploads are disabled but existing data remains accessible. After the grace period, the account is downgraded to the free tier and media files may become inaccessible.
6. Right of withdrawal (Widerrufsrecht)
As a consumer in the European Union, you have the right to withdraw from a subscription contract within 14 days without giving any reason. The withdrawal period begins on the day the contract is concluded.

If you consent to the service beginning immediately upon purchase and acknowledge that you lose your right of withdrawal once the service has been fully provided, the right of withdrawal may expire early in accordance with §356 Abs. 4 BGB.
7. Cancellation
You may cancel your subscription at any time through Apple Settings > Subscriptions. Cancellation takes effect at the end of the current billing period. Refunds are handled by Apple in accordance with their refund policy.
8. Liability
We are liable without limitation for damages caused by intent or gross negligence, and for damages arising from injury to life, body, or health. For slight negligence, we are liable only for breach of essential contractual obligations (Kardinalpflichten), limited to foreseeable, typical damages. This does not affect liability under the German Product Liability Act (Produkthaftungsgesetz).
We do not warrant uninterrupted or error-free availability of the Service. Scheduled maintenance and force majeure events are excluded from availability commitments.
9. Acceptable use
You agree not to use the Service to store, transmit, or distribute content that is illegal under applicable law. We reserve the right to suspend accounts in case of confirmed illegal use.
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the app or via email (if registered) at least 30 days before taking effect. Continued use after the effective date constitutes acceptance. If you do not agree to the updated Terms, you may cancel your subscription and stop using the Service.
11. Dispute resolution
The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr.
We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board, but may choose to do so on a case-by-case basis.
12. Governing law and jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany. Mandatory consumer protection provisions of the country in which you have your habitual residence remain unaffected. Place of jurisdiction for merchants is [CITY], Germany.
13. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
